END USER LICENSE AGREEMENT (EULA)

Effective Date: 1/1/2020

This End User License Agreement ("Agreement") is a legal agreement between you ("User") and SynthEdit Ltd ("Licensor") for the use of SynthEdit software ("Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.


1. GRANT OF LICENSE

The Licensor grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on your computer(s) for personal or commercial use, subject to the terms of this Agreement.

  • Single-User License. Each license permits one (1) individual to use the Software.
  • Multiple Devices. You may install the Software on multiple devices, provided you are the sole user.

2. OWNERSHIP

The Software is licensed, not sold. The Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any ownership rights.

3. USER-CREATED CONTENT

  • Plugins and Modules. You retain full ownership of any VST plugins, audio modules, or other content you create using the Software.
  • Distribution. You are free to distribute, sell, or otherwise commercialize any plugins or audio content you create with the Software, without royalty or additional fees to the Licensor.
  • No Attribution Required. You are not required to credit SynthEdit in your distributed works, though attribution is appreciated.

4. RESTRICTIONS

You may not:

  • Copy, modify, reverse engineer, decompile, or disassemble the Software, except as permitted by applicable law.
  • Redistribute, sublicense, rent, lease, or lend the Software to third parties.
  • Remove or alter any proprietary notices, labels, or trademarks on the Software.
  • Use the Software for any unlawful purpose.

5. UPDATES AND SUPPORT

  • The Licensor may, at its discretion, provide updates, patches, or new versions of the Software.
  • Updates may be subject to additional or revised terms.
  • The Licensor is not obligated to provide technical support unless separately agreed upon.

6. THIRD-PARTY COMPONENTS

The Software may include third-party libraries or components subject to their own license terms. A list of such components and their respective licenses is available in the Software documentation or installation directory.

7. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE LICENSOR'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE LICENSE.

9. TERMINATION

  • This Agreement is effective until terminated.
  • Your rights under this Agreement terminate automatically if you fail to comply with any of its terms.
  • Upon termination, you must cease all use of the Software and destroy all copies in your possession.

10. PRIVACY

Any data collection practices are governed by the Licensor's Privacy Policy, available at https://synthedit.com/contact/privacy-policy. The Software may collect anonymous usage data to improve functionality, unless you opt out.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions.

12. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and the Licensor regarding the Software and supersedes all prior agreements, understandings, or representations.
